According to Courthouse News, a public pension fund for the city of Sterling Heights, Michigan, has sued Oracle, alleging that the company, along with several former and current executives and underwriters, misrepresented its financial picture ahead of a public debt offering in February 2026. At the center of the complaint is the link between the $25 billion bond issuance and a $300 billion cloud deal with OpenAI.

The plaintiff argues that Oracle portrayed strong cloud growth and highlighted the contribution of major players in the AI wave, but failed to clearly disclose the important risks behind it. According to the complaint, the largest source of growth in the company’s remaining performance obligations, or RPO, was likely tied to OpenAI, while that customer is said to have missed its own revenue and internal user targets.

However, the plaintiff argues that this increase was driven mainly by a single customer, OpenAI, and therefore should have been accompanied by a clearer explanation of the sustainability of that revenue source.
